Code of Conduct – Red Bull Group

INTRODUCTION

This is Red Bull: Giving Wiiings to People and Ideas

This Code of Conduct (or simply the “Code”) reflects our way of working, acting and who we are. Red Bull is committed to upholding high ethical and professional standards everywhere that we do business. We are committed to complying with all relevant laws, rules, and regulations applicable to our business and our products around the world.

This Code summarizes Red Bull’s core global commitments to ethics and compliance. Local policies and procedures address the specific local requirements in the individual countries in which we operate.

This Code applies to all Red Bull employees, directors, and company officers in all Red Bull Group companies around the world. We expect all those that we do business with (our business partners) to adhere to the same high standards to which we hold ourselves in this Code.

Red Bull managers promote and uphold the Code within their teams. That includes being a model of ethical behavior and engaging actively with our teams to create an environment in which this Code is part of our everyday work. This Code seeks to provide clear expectations for all Red Bull employees and those working on our behalf.

1. PEOPLE

Red Bull treats its employees and all people with respect and dignity. We are committed to maintaining a diverse, safe, respectful, and inclusive work environment for everyone involved in our operations. Red Bull has zero tolerance for harassment and discrimination, child and forced labor, and other human rights violations (including modern slavery).

1.1. HUMAN RIGHTS AND WORKING CONDITIONS

Red Bull firmly believes in upholding human rights in our business practices worldwide and requires the same from everyone that we do business with.

Red Bull is committed to strict compliance with all applicable labor and human rights laws.

Our understanding of human rights is informed by international instruments including, but not limited to, the Universal Declaration of Human Rights, the United Nations Global Compact, the Organization for Economic Co-operation, Development (OECD) Guidelines for Multinational Enterprises, as well as the International Labor Organization's Declaration on Fundamental Principles and Rights at Work. Our approach aligns with the UN Guiding Principles on Business and Human Rights.

Both in our own business and our supply chain, compliance with all applicable labor and human rights laws are essential. With that in mind we have established the following principles, for Red Bull and our supply chain:

Where required by applicable law, we implement a due diligence process to continuously identify, mitigate, track and account for actual and potential adverse impacts on human rights in our own operations as well as in our supply chains.

1.2. EQUAL OPPORTUNITY, NON-HARASSMENT, AND ANTI-DISCRIMINATION

Equal treatment of a diverse workforce allows us to acquire and retain the best talent for Red Bull and supports our culture of creativity and innovation.

We employ individuals without regard to, and reject any discrimination based on, ethnicity, color, religion, sex (including pregnancy, gender identity, and sexual orientation), parental status, national origin, age, disability, genetic information (including family medical history), political affiliation, military service, or other non-merit-based factors. We do not offer employment in return for procuring business for the company.

All workers within the value chain must be treated with respect, dignity, and fairness. No worker shall be subjected to any form of physical, sexual, or verbal abuse or harassment.

By adhering to these principles, we seek to maintain a safe, respectful, and inclusive work environment for everyone involved in our operations.

1.3. HEALTH AND SAFETY

Red Bull values the health and safety of our employees, who are our most valuable asset. We must follow local health and safety rules and timely report any accidents, injuries, and unsafe equipment, practices or conditions in the workplace.

Red Bull prohibits the misuse of alcohol and the use of drugs in a manner that leads to impaired performance or inappropriate behavior, endangers the safety of others, or violates the law. Red Bull does not permit the use or possession of illegal drugs at our sites.

2. CONFLICTS OF INTEREST

Our personal interests or relationships must not inappropriately influence our business or staffing decisions or give the appearance of doing so. We always act objectively and in the best interests of Red Bull and disclose potential conflicts of interest transparently.

3. BUSINESS PARTNERS

We expect all those with whom Red Bull works to have the same high ethical standards that we do, and for them to comply with all applicable laws and regulations. Red Bull can be held responsible for illegal or unethical conduct of those with whom we do business. Dealing with unethical business partners also risks damaging Red Bull’s reputation and commitment to compliance. When engaging with companies and individuals performing services for or on behalf of Red Bull, we take steps to know who we are doing business with.

We take steps to ensure our business partners adhere to our Supplier Code of Conduct, which, among other things, sets out our commitments regarding ethics, legal compliance, human rights, environmental sustainability. We never engage a third party to engage in conduct that we ourselves cannot do because it is prohibited by this Code, other Red Bull policy or procedure, or applicable laws, or is contrary to our values.

4. PROTECTION OF ASSETS

We take utmost care to protect Red Bull company assets, including our intellectual property. We secure all physical and intellectual property assets to prevent misuse, tampering or theft. Red Bull is also committed to respecting assets of individuals, companies, communities, and organizations with which we interact.

4.1. PROPERTY AND INTELLECTUAL PROPERTY RIGHTS

Red Bull's products, services, and intellectual property rights—including our trademarks, logos, copyrights, trade secrets, know-how, and patents—are among our most valuable assets. Unauthorized use of these assets can lead to their loss or a significant decrease in their value. It is imperative that all employees, business partners, and stakeholders respect and protect these assets. Any unauthorized use, reproduction, or distribution is strictly prohibited and will be met with appropriate legal action to safeguard the integrity and value of our intellectual property. We also respect and protect the products, services, and intellectual property rights of our business partners.

4.2. CONFIDENTIAL INFORMATION

During the course of working for Red Bull, we may come into possession with information that is confidential, including trade secrets and other proprietary and confidential materials. It is critical that we maintain and protect such confidentiality. Red Bull protects its confidential information and the confidential information of its business partners. Red Bull’s agreements and our internal policies and procedures require that any confidential information is disclosed only on a need-to-know basis and used only for its intended purpose.

4.3. ACCURATE BOOKS AND RECORDS

To protect Red Bull, we always maintain accurate accounts, financial and other business records of the company. We never prepare false or misleading documents, false financial records or accounts or allow our business partners to do so. Transactions are only undertaken with appropriate authorization and in accordance with Red Bull’s internal controls. Our business records must conform with applicable legal, accounting and regulatory requirements. There cannot be any unrecorded funds, assets or any other type of “off the books” accounts or transactions created or entered into for improper purposes.

4.4. COMMUNICATING ON BEHALF OF RED BULL (INCLUDING SOCIAL MEDIA)

Only Red Bull employees who are explicitly authorized to do so can represent Red Bull, including to the media or the public, and discuss business and financial information about Red Bull.

We take care when using personal social media accounts to be clear that we are acting and communicating in our personal capacities and not on behalf Red Bull.

5. ETHICS AND LEGAL COMPLIANCE

Red Bull is committed to complying with all applicable laws, rules, and regulations including but not limited to those governing bribery, corruption, money laundering, terrorist financing, antitrust and competition, data privacy and digital security, sanctions, taxes, customs and export controls.

5.1. ANTI-BRIBERY AND ANTI-CORRUPTION

Red Bull has a zero-tolerance policy to bribery and corruption. We do not tolerate or engage ourselves in any form of corruption or bribery, either directly or indirectly. We do not offer, provide, or promise anything of value to a public official or a private sector counterpart to influence their actions, obtain or retain business, or gain any other improper advantage.

We do not accept any gifts, hospitality, or anything else to influence decisions relating to Red Bull business, or that might give that impression.

We expect our employees and business partners to adhere strictly to all applicable laws, rules, and regulations governing gifts, travel and entertainment, and applicable policies and procedures.

5.2. ANTI-MONEY LAUNDERING AND COUNTER-TERRORIST FINANCING

Red Bull strictly adheres to all applicable laws, rules, and regulations governing money laundering and terrorist financing. We conduct appropriate diligence and screening of those with which we do business, including to provide assurances regarding the sources of funds.

5.3. ANTITRUST AND COMPETITION LAW

Red Bull competes fairly and on the merits. We adhere to all applicable antitrust, competition, and fair dealing laws. Red Bull does not engage in any illegal price fixing, market allocation, bid rigging, or other anti-competitive or collusive conduct or arrangements.

5.4. DATA PRIVACY AND DIGITAL SECURITY

Red Bull respects individuals’ privacy and their data. This includes our employees, customers and all those with which we work. The collection, use, storage and international transfer of personal data is increasingly subject to regulation. Red Bull maintains high digital security standards and collects, uses, transfers, and disposes of personal data in compliance with applicable data privacy regulations and laws. Red Bull requires that those with which we share personal data do the same.

5.5. SANCTIONS AND TRADE CONTROL

Red Bull operates internationally in many countries around the world. Applicable economic sanctions, export control and other trade rules regulate where and to whom our products can be sold, from where they can be sourced, and with whom we can do business and undertake financial transactions. Red Bull takes all necessary measures to comply with applicable sanctions, export control and trade control programs. Red Bull does not do business with individuals, organizations, governments or in territories which are prohibited by applicable rules. We declare all exports and imports, along with their value, accurately and transparently to customs authorities.

5.6. CONSUMER PROTECTION AND PRODUCT SAFETY

Red Bull is committed to complying with all applicable consumer protection and product safety laws so that our products and services are safe and of high quality. We aim to always provide accurate and transparent information, in compliance with all applicable labelling and advertising requirements.

Red Bull does not market its Red Bull Energy Drinks to children. Throughout the world, Red Bull has led the development of and signed on to numerous voluntary industry codes which confirm this commitment. We comply with all applicable laws related to child protection and advertising.

6. ENVIRONMENT

Sustainability has always been a part of Red Bull’s DNA. We are mindful of the impact our operations have on the surrounding environment while always aiming to leave our playgrounds in a better place than when we found them.

6.1. SUSTAINABILITY

Sustainability is a core principle of our company that guides our actions and decisions at Red Bull. Our mission—To Give Wiiings to People and Ideas—is closely linked to our commitment to sustainability. As we drive future growth, we recognize our profound responsibility to our planet and its inhabitants. Sustainability is not just a buzzword for us, but a defining principle. We aim to act in an environmentally and climate-conscious manner, and to minimize the impact on the environment by reducing climate relevant emissions in line with Science Based Targets Initiatives and applicable laws.

6.2. USE OF LAND

We recognize the importance of maintaining the integrity of both public and private lands and we promote sustainable and respectful practices in all activities involving land use.

6.3. USE OF WATER

We are aware of the importance of water as the main component of our Red Bull Energy Drinks and therefore a responsible management of this valuable resource is fundamental to our business operations. Our water activities, such as usage, treatment, and reuse of water resources, are regulated by the respective local authorities. In the area of wastewater, we comply with all regional limits.

7. VIOLATIONS OF THIS CODE

Red Bull takes compliance with this Code very seriously.

Any Red Bull employee who is found to have violated this Code and our corporate policies and procedures will be subject to appropriate disciplinary action, up to and including termination of employment.

Any Red Bull business partner whose activities are not aligned with the principles set out in this Code, and the obligations in its contract with Red Bull and other applicable documents, including among others Red Bull’s Supplier Code of Conduct, may, in accordance with local practice, be subject to appropriate remedial action up to and including termination of its business relationship with Red Bull.

7.1. NON-RETALIATION

Red Bull employees who raise questions or concerns in good faith, will be protected from retaliation. Anyone who retaliates against another for raising a concern in good faith will be subject to appropriate disciplinary action up to termination of employment.

7.2. ASKING QUESTIONS AND RAISING CONCERNS

Red Bull is committed to this Code. We believe that the trust of our workforce, value chain workers, business partners and all other stakeholders is one of our most valuable assets. If anyone has concerns about compliance with this Code, we encourage them to raise them through our “SpeakUp” tool.
