It can also be a reality check about some areas for improvement, as this business owner notes - the kick in the butt they needed! So far in 2024, Eminence M&A Strategies has completed valuation opinions and reviews for 28 business owners, for approximately $162MM in enterprise value. These clients range from an owner starting their second year of operations to seasoned enterprises with 50+ years of history. Key Positives • Early engagement: More owners are getting ahead of the curve, kicking off exit talks 3-5 years early. Our messaging is resonating! • Strong Recovery: Particularly for businesses in Texas, we've observed a robust rebound from the pandemic. Most of these businesses have significantly grown from their 2019 revenues, and now have multiple years of growth. • Valuation Expectations Normalizing: Valuations in 2021 and early 2022 were higher than several prior quarters/years, and have cooled. In 2023, there was resistance to valuation estimates, and while there are some exceptions, business owners have been more reasonable about targets. If I had it to do over again, I don't know if I'd have both my husband, Dean Goodman, and I start that path simultaneously with 2 kids under 5 😅 but we're here, and we're thriving. What I can say for certain: We couldn't do it without the wonderful humans who surround us with support, many of whom are pictured here and many, many more who are not. We hosted the first of what we hope will be a growing annual Thank You Dinner for our supporters: The friends and colleagues who provide their expertise, referrals, talent, and make the work we do at Eminence M&A Strategies and CieloWorks possible. Besides, my CPA told me that I could just multiply my revenue times 5 for a good number." I captured this quote from a seller consultation meeting. I shared these perspectives with this business owner: • Your CPA is probably not correct. While a 5X multiplier is in the range of typical 4-10x multiples for middle-market deals, it's usually a multiple on earnings (EBITDA) rather than revenue. • I hope sellers do exit on their terms and timeline, but often there is a disrupting event (ex. organic inbound buyer, death, divorce, economic conditions, health reasons) that can mean a transaction earlier than you expect. Having a plan in place will benefit any transaction. • There are a wide range of factors that impact the valuation of your business beyond a pure multiplication factor on earnings. There is often a significant gap in value expectations from a seller and what the market will bear. This can have significant impacts on financial and retirement planning when you're planning around an incorrect number. • A business valuation can not only be an assessment of the valuation range you could expect but can also highlight potential opportunities or uncover potential weaknesses that would impact your ability to transact or successfully exit. • You can't start too early, but you can start too late. Mark Eiland liked thisMark Eiland liked thisI just watched a $2.7 million deal die because of an email. The VP of Sales crafted what he thought was the perfect response to a pricing objection. Thoughtful. Detailed. Well reasoned. The prospect never responded. Three weeks of follow up emails yielded nothing but silence. When he finally called (after my insistence), he discovered the prospect had completely misinterpreted his email, thought he was being inflexible and moved forward with a competitor. All because words on a screen can't convey intention, tone or collaboration. Email is a wonderful tool. It's both cheap and efficient. It's also the wrong tool for MOST sales conversations. Think of it this way: Words account for only 7% of human communication. Tone and voice account for 38%. Body language accounts for 55%. → Email strips away 93% of your communication power. Yet we keep using it for crucial conversations because it's convenient. What crucial sales conversations are you trying to have via email right now that would be better served by picking up the phone? Your quarter might depend on it.

What really keeps business owners up at night? It’s not just sales. It’s: • Cash flow – “Will I make payroll and pay the IRS on time?” • Inconsistent revenue – “Where is next month’s business coming from?” • Employees – turnover, reliability, compliance, culture. • Taxes – “Am I paying too much… or about to get a letter?” • Thin margins – busy but not profitable. • Competition – someone cheaper, faster, or more automated. • Personal risk – their home, savings, and family tied to the business. • Exit value – “Is this business actually worth anything without me?” Most owners don’t lose sleep because they lack hustle. 𝗢𝗻𝗲 𝗼𝗳 𝘁𝗵𝗲 𝗺𝗼𝘀𝘁 𝗲𝘅𝗽𝗲𝗻𝘀𝗶𝘃𝗲 𝗹𝗲𝘀𝘀𝗼𝗻𝘀 𝗜 𝗹𝗲𝗮𝗿𝗻𝗲𝗱 𝗶𝗻 𝗯𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝘄𝗮𝘀𝗻’𝘁 𝗮𝗯𝗼𝘂𝘁 𝗺𝗼𝗻𝗲𝘆. I𝘁 𝘄𝗮𝘀 𝗮𝗯𝗼𝘂𝘁 𝗯𝗼𝘂𝗻𝗱𝗮𝗿𝗶𝗲𝘀. Early on, I said yes to everyone. Saw the red flags. Took the client anyway. Told myself I could manage it. Then COVID hit. PPP. EIDL. SBA chaos. My bookkeeping clients suddenly needed advisory. Application navigation. Strategy. Constant access. And I became the lifeline. All for the same bookkeeping rates. While other companies were taking advantage and charging 30–50% of funds secured, I was trying to be the “good one.” The accessible one. The helpful one. Then the money hit their accounts. Some disappeared expeditiously 😅 After the calls. the stress. the extra hours. And the unpaid work. And that’s when it clicked. If they’re not paying for it, they don’t value it. Scope creep isn’t a workload issue. It’s a standards issue. When your boundaries are loose, your revenue leaks. So I changed the structure. Bookkeeping is one service. Advisory is another. If you need both, you pay for both. No more free strategy calls. No more running someone else’s business emotionally. No more subsidizing poor decisions with my time. Because I’m not here to make decisions for owners. I’m here to illuminate what’s happening so they can. 𝗕𝗶𝗱𝗱𝘆 𝗠𝗮𝘀𝗼𝗻 understood this long before I did. Born into slavery. She walked from Mississippi to California. Took her enslaver to court and won her freedom. She became one of the wealthiest Black women in Los Angeles through real estate. But here’s what matters: She didn’t buy every property. She was selective. Strategic and Disciplined. She invested with intention. And when she gave back to her community, it was on her terms.
