A promoter's father, mother, uncle, aunt and cousin all got IPO money. Guess who didn't — "the business": Nirman Agri Genetics, a seeds company from Nashik, raised ₹20.30 crore from the public in March 2023 for "working capital and expansion" What they said: We're raising ₹20.3 Cr for working capital & business expansion. What SEBI's interim findings alleged: Nearly 93% of the IPO proceeds were allegedly diverted through shell entities and promoter-linked accounts. What the money trail revealed: • Money allegedly moved through multiple layers of vendors. • Several vendors reportedly had no genuine operations. • Funds allegedly traced back to promoter-linked entities. • Revenue looked strong... but the cash kept coming back in circles. • Then the promoter reportedly sold shares worth ₹16 Cr near the highs. • The alleged money trail even touched an Independent Director & Audit Committee member. The takeaway? A convincing IPO story isn't an investment thesis. The real due diligence begins after the money is raised.

🚀 IPO Initiation Note: Dhaval Packaging Limited 🚀 I've just published a data-led overview of the upcoming BSE SME IPO for Dhaval Packaging Limited. If you track the rigid packaging space or SME listings, here is a quick summary of the financials, growth drivers, and risks derived from their March 16, 2026 DRHP. 🏢 The Business Dhaval Packaging designs and manufactures in-mold labelled (IML) rigid plastic containers for India's food and FMCG brands. Operating from a single facility in Sanand, Gujarat, they also produce SAW pipe-protection end caps for the infrastructure sector. 📊 Financial Highlights (FY25) Revenue: The company reported a top-line revenue of ₹52.3cr, or 5,226 lakhs. PAT: Profit After Tax stood at ₹6.0cr (604 lakhs), representing a massive 3.9x YoY growth. 67 listed Indian companies converted warrants into new equity in the 30 days to 13 August 2026 — 106 filings across NSE and BSE. Warrant conversion is one of the least-understood lines in an Indian company's disclosure. A warrant is not a share; it is the right to subscribe to one later at a price fixed at issue. The holder pays part upfront and the balance on conversion. Critically, the resulting share is issued by the company — it does not change hands from an existing holder. That distinction is the whole point. Same business, a larger share count, and every pre-existing share represents a marginally smaller claim on it. That is dilution, and it is disclosed in plain sight. A representative case: Kanpur Plastipack converted 93,500 warrants at ₹130 per share to promoter-group allottees, leaving no warrants pending.
