TERMS OF SERVICE OF TELICALL

These Terms of Service (“Terms”) is a binding agreement between you (referred to herein as “the User”, “You” or “Your”) and Getverify LDA, a company incorporated under the laws of Portugal, located at Avenida do Infante, no. 50, 9004-521 Funchal, Madeira, Portugal and where applicable its subsidiaries, affiliates and related corporations (referred to herein as “Telicall”, “the Company”, “we”, “us” or “our”), concerning your access to and use of Telicall’s Services (as defined below) via Telicall website, related features and services, and other linked channels, mobile websites or applications (collectively, the “Platform”).
BY ACCESSING THE PLATFORM, USING THE SERVICES, OR CLICKING “AGREE” OR “CONTINUE” YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT, YOU MUST NOT USE THE PLATFORM OR SERVICES. THE SERVICES ARE INTENDED FOR INDIVIDUALS 18+ WITH CAPACITY TO CONTRACT. IF YOU DO NOT AGREE WITH THE TERMS, YOU SHOULD IMMEDIATELY DISCONTINUE USING THE PLATFORM AND SERVICES.
We can be accessed through various locations and jurisdictions. You are solely responsible for compliance with Applicable Laws in each location where you access or use the Services. Do not use the Services where such use would be unlawful or require registration or licensing that we do not hold.
You may not use this Platform and Services if you: (i) do not agree to these Terms; (ii) are not of the age or have the capacity to be bound by these Terms in Your jurisdiction of residence; or (iii) are prohibited from accessing or using this Platform or Services or any of this Platform’s contents, products or services by applicable law.
The Service does not provide access to any emergency calling capability, including but not limited to 911, 112, 999, 000, or their equivalents in any jurisdiction. The Service is not intended or suitable for placing and receiving calls to emergency services, public safety answering points, law enforcement, fire departments, medical response units, or other similar agencies. You must maintain alternative means of communication capable of placing and receiving emergency calls. You acknowledge and agree that Telicall shall have no liability for any inability to access emergency services via the Service.
Telicall provides internet-based communications services through the Platform. The Services may include (i) prepaid outbound voice calling initiated through the Platform using internet-based calling technology(VOIP), with termination to standard telephone networks (PSTN) through third-party telecommunications infrastructure, and (ii) where enabled by Telicall, the provision and management of one or more “Second Number” or “2nd Number” features that allow a User to obtain, retain and use one or more telephone numbers through the Platform over an internet connection.
The scope, availability and functionality of the Services may vary by country, number type, destination, Provider, plan, platform, device, operating system, account status, technical capability, legal or regulatory requirement, and commercial decision. Without limitation, certain Second Number offerings may support inbound calling and/or inbound SMS only; certain offerings may also support outbound calling and/or outbound SMS where enabled; and certain countries, numbers, destinations, Providers or platforms may be unavailable, restricted, suspended, filtered or unsupported at any time.
Except to the extent expressly made available by Telicall for a particular Second Number offering, no User is guaranteed any inbound capability, outbound capability, dedicated caller identification, messaging capability, continuity of number assignment, routing path, transmission speed, delivery success, interoperability, geographic availability, or service level. The Services are provided strictly on an “as is” and “as available” basis, without any representations or warranties of uninterrupted availability, call quality, network coverage, or suitability for any specific purpose, to the fullest extent permitted by Applicable Law.
Telicall enables the initiation and management of prepaid outbound voice calls to international mobile and landline numbers via internet-based calling (VoIP) technology, with termination to standard telephone networks (PSTN) through third-party telecommunications infrastructure. No dedicated inbound number is provided to You; outbound calls may display a rotating third-party caller ID number selected from Telicall’s available pool of caller numbers. No inbound voice calls, data or SMS services are provided.
With the acceptance of these Terms, You further acknowledge that You have read and understood Our policies in the Telicall Platform, including but not limited to the Privacy Policy, Cookie Policy, Payment, Cancellation and Refund Policy, and other policies and notifications (collectively be referred to as “Policies”) that may be amended from time to time on the Telicall Platform. These Policies are an integral and inseparable part of these Terms. Violation of the principles stated in these Policies is equivalent to a violation of these Terms.
You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other local and international laws associated with Your use of the Service.

1. Defined Terms and Interpretation
1.1. Capitalized terms used in these Terms shall have the meanings set forth in this Section or, where the context so requires, as expressly defined in other parts of these Terms. Any definition introduced elsewhere in these Terms shall apply equally throughout the entire document unless the context requires otherwise. Singular terms include the plural and vice versa; references to “including” shall mean “including without limitation.”
1.2. For purposes of these Terms:
“Applicable Laws” means all laws, regulations, orders, and industry obligations relevant to your access or use.
“VoIP” means Voice over Internet Protocol, enabling outbound calling using an internet connection through the Platform.
“PSTN” means the public switched telephone network, which receives and completes outbound calls initiated through VoIP.
“Telicall Balance” means the prepaid, non-monetary balance visible in Your Telicall account, which may be used solely for call charges and other permitted consumption on the Platform. Telicall Balance has no cash value, is non-redeemable, non-exchangeable, non-transferable, and may not be redeemed for money or any other consideration, except where required by Applicable Law. The purchase and use of Telicall Balance are governed exclusively by these Terms and the Payment, Cancellation and Refund Policy.
“Cookie Policy” means the cookie and tracking technologies policy of Telicall, as published and made available on the Platform and updated from time to time, which explains the types of cookies and similar technologies used on the Platform, their purposes, and how users can manage their preferences. The version of the Cookie Policy in force at the time of access or use shall apply.
“Payment, Cancellation and Refund Policy” means Telicall’s policy, as published and made available on the Platform and updated from time to time, which sets forth the terms and conditions governing payment methods, billing, cancellation, credit expiration, and refund procedures for the Services. The version of the Payment, Cancellation and Refund Policy in force at the time of the relevant transaction shall apply.
“Platform” means Telicall websites, web interfaces, and applications we operate.
“Plan(s)” means the pricing options, bundles, subscriptions, packages, allowances, tariffs or feature entitlements made available on the Platform from time to time. Plans may include, without limitation: (a) pay-as-you-go or prepaid outbound or inbound calling and messaging products funded through Telicall Balance; (b) finite prepaid calling or SMS bundles or promotions with a specified allowance and/or validity period; and/or (c) recurring or non-recurring subscriptions relating to a Second Number feature. Unless expressly stated otherwise on the Platform, a Plan applies only to the specific Service component for which it is purchased and does not include any other feature, country, number, destination, usage type or entitlement.
“Privacy Policy” means the privacy policy of Telicall, as published and made available on the Platform and updated from time to time, which governs the collection, processing, storage, and disclosure of personal, technical, and usage data in connection with the Platform and the Services. The version of the Privacy Policy in force at the time of access or use shall apply.
“Provider(s)” means, third-party carriers, network operators, upstream suppliers, and technology partners.
“Policies” means, Documents incorporated by reference, including the Payment, Cancellation and Refund Policy, Privacy Policy, Cookie Policy.
”Services” means the services made available by Telicall through the Platform from time to time, including, as applicable and where enabled: (i) the initiation, transmission, management and billing of outbound voice calls made through the Platform using internet-based calling technology(VOIP), with termination on traditional telephone networks (PSTN) via third-party telecommunications providers; (ii) the provisioning, assignment, retention, routing, suspension, reactivation and management of one or more Second Number features; (iii) inbound call reception to a Second Number through the Platform; (iv) inbound SMS reception to a Second Number through the Platform; and (v) outbound calling and/or outbound SMS associated with a Second Number, where and when enabled by Telicall. The Services require an internet connection and a compatible device. The Services do not include emergency calling, emergency messaging, guaranteed availability, guaranteed number portability, guaranteed number retention, mobile network service, SIM cards, eSIMs, or any functionality not expressly made available by Telicall.
“Second Number” or “2nd Number” means a virtual telephone number assigned, reserved, provisioned, or otherwise made available to a User through the Platform by Telicall or its Providers, which may permit some combination of inbound calling, inbound SMS, outbound calling and outbound SMS, subject always to availability, enablement, country, Provider, platform, destination, regulatory requirements, technical capability and these Terms.
“Second Number Subscription” means the subscription, recurring entitlement, non-recurring entitlement, or other paid right associated with the holding, retention, assignment, reservation, or use of a particular Second Number.
“Passive Number” means a Second Number that has been placed into a non-active or restricted continuity state following expiration, cancellation, termination, non-renewal, payment failure, store-subscription lapse, or similar cessation of the applicable Second Number Subscription, during which the number may be reserved for possible reactivation for a limited period solely determined by Telicall.
“Provider(s)” means third-party carriers, network operators, numbering partners, upstream telecommunications suppliers, messaging suppliers, routing partners, and technology or infrastructure partners used in connection with the Services, including without limitation for number provisioning, call routing, message routing, delivery, compliance, verification, fraud prevention, or related service operations.
“Merchant of Record” means Zotlo (Z3P LLP) or any other duly appointed payment, billing, or sales intermediary engaged by Telicall to process payments, issue invoices, or act as reseller of record for transactions made through the Platform. The Merchant of Record operates in accordance with these Terms and any applicable order confirmation, invoice, or accompanying agreement.
“Users” mean, individuals who access or use the Services through your account, integrations, or applications.
“Usage Charges” means the per-minute, per-message, per-destination, per-event, or other consumption-based fees that may apply to certain Services, including without limitation inbound or outbound calling and inbound or outbound SMS where enabled.
2. Description of Services and Fees
2.1. The Services enable You to: (a) initiate outbound voice calls through internet-based calling technology (VoIP) and to have those calls terminated on standard telephone networks (PSTN). No incoming calls, SMS, MMS, data connectivity, SIM, or eSIM functionality is provided and/or (b) where enabled, obtain and use one or more Second Numbers through the Platform for inbound call reception, inbound SMS reception, and such outbound calling and/or outbound SMS functionality as Telicall may elect to enable from time to time. Not all Services are available in all countries, for all numbers, to all Users, on all platforms, or through all Providers. Services may be offered directly by Telicall or through authorized third-party carriers and content providers.
2.2. The Platform may provide an interface where You can, as applicable, viewcall activity, monitor call duration and applicable rates, assigned or reserved Second Numbers, subscription status, purchase additional Telicall Balance, Plans or Second Number Subscriptions.
2.3. From time to time, the Platform or the Services may receive automatic updates, including bug fixes, enhancements, and new features, to maintain compatibility and performance. By using the Services, You agree to receive and install such Updates without additional notice.
2.4. To access and fully utilize the Services, You must maintain compatible hardware and software (latest versions recommended) and an active internet connection. Service performance may be impacted by device capabilities, network conditions, and Platform requirements; You are responsible for meeting these prerequisites. Compatibility may vary by device, carrier, and country of origin. We do not warrant compatibility for any specific device or configuration.
2.5. To use the Service, You must have a compatible device capable of placing VoIP calls, and a stable internet connection. Telicall is not responsible for call failures resulting from device settings, firewall restrictions, network blocks, VoIP limitations, or incompatibility. Telicall disclaims all liability for activation failures, device restrictions, provisioning errors, or issues arising from unsupported devices.
2.6. All call pricing is transparently displayed within the Platform and is calculated on a per-minute basis according to the destination country or region. Additional charges may alo apply for inbound calls and SMS where applicable. Pricing is subject to change at Telicall’s sole discretion at any time without prior notice. You are responsible for reviewing the latest applicable rates before placing any call. Call charges are deducted in real time from Your Telicall Balance, and calls will not proceed if the available balance is insufficient. Each initiated minute is charged as a full minute, and any partial minute will be rounded up to the next full minute.
2.7. You acknowledge and agree that the availability, scope and functionality of any Service, including any Plan, Second Number feature, may vary and may be introduced, withheld, modified, restricted, suspended or discontinued at any time, in whole or in part, by country, number type, Provider, destination, platform, device type, operating system, account tier, billing channel, legal or regulatory constraint, technical limitation, anti-abuse control, or commercial decision. Without limitation, Telicall may enable inbound and outbound calling for certain Second Numbers before others, may enable inbound and outbound SMS only for selected corridors or not at all, and may restrict certain destinations, message types, use cases, carriers or routing paths.
2.8. You acknowledge that the Services depend on third-party carriers, network operators, and other upstream connectivity or content providers (“Providers”), who may at any time and without notice to Telicall change pricing, restrict, suspend, terminate service to a country or region, or otherwise alter availability or cost. If a Provider materially increases its cost, ceases service, or otherwise makes continued delivery impracticable (including due to regulatory, commercial, or technical developments), Telicall may, in its sole discretion, suspend, change price, modify, or discontinue the affected Services or plans in that country or region. Telicall will use commercially reasonable efforts to promptly notify affected Users. In such cases, Telicall may, at its sole discretion, apply an account credit to Your Telicall Balance as a goodwill adjustment. Except for any such discretionary credits, which are Your sole and exclusive remedy, You hereby release Telicall from all other claims (including consequential, incidental, indirect, lost profits, expectation, or similar damages) arising from Provider cost changes, unavailability, or country closures. This reservation of rights applies equally to number assignment, number retention, number recycling, call routing, message routing, delivery capability, destination coverage, caller identification presentation, message throughput, and any Second Number feature.
2.9. Your purchase from Telicall depends on third-party providers. You expressly accept in advance any price changes (including passthrough increases) and acknowledge that Providers may at any time change pricing, restrict, suspend, or terminate Service, or otherwise make delivery impracticable (including as a result of abrupt cost increases, country-level shutdowns, regulatory orders affecting Providers, or loss of connectivity). In all such events, Your only possible remedy, if any, shall be a discretionary account credit applied by Telicall in accordance with clause 2.7; no refund, replacement, or additional remedy is owed to You unless Telicall expressly agrees otherwise in writing. You waive and release Telicall from all other claims (including indirect, consequential, special, lost profits, expectation, or similar damages) arising from such events.
2.10. To the extent the Services depend on third-party telecommunications, VoIP transport, or PSTN termination providers, You acknowledge and agree that Telicall functions solely as an intermediary and is not a party to any contract between You and any such third-party provider. Telicall assumes no liability for network disruptions, connectivity failures, routing issues, quality degradation, or performance issues originating from third-party networks.
2.11. When using Telicall Services in any country, You agree to comply with all applicable local laws and regulations, including those relating to mobile device registration and telecommunications use. You are solely responsible for determining whether purchase, activation, or use is lawful in Your jurisdiction of residence or intended use. Telicall makes no representation or warranty as to legality, disclaims all implied warranties to the fullest extent permitted, and You assume all risk of unlawful use and agree to indemnify and hold Telicall harmless for any violation.
2.12. Telicall reserves the right, in its sole discretion, to modify, suspend, or discontinue any portion of the Services at any time, with or without prior notice. Where material changes are introduced, Telicall will notify You through the Platform or via the contact details associated with Your account. Continued use of the Services after such modifications constitutes Your acceptance of the updated Services.
2.13. Telicall doThe Services do not support emergency calls or emergency texts (including 112, 911, 999 or their equivalents) and are not intended for contacting emergency services, public safety answering points, law enforcement, fire departments, medical response units, or similar agencies. You must maintain alternative means of communication capable of contacting emergency services. Except where expressly enabled by Telicall for a particular Service component, Telicall does not provide inbound calling, SMS messaging, MMS, or any other functionality beyond that expressly identified on the Platform. Where Telicall makes available a Second Number feature, such feature remains subject to country, number, Provider, platform, technical, legal, regulatory and anti-abuse limitations, and Telicall may at any time restrict or disable any inbound or outbound capability associated with such feature without liability, except to the extent required by Applicable Law.
2.14. Where a Second Number feature is enabled, calls and messages addressed to that number may be received through one or more Providers and routed to Telicall’s systems over the internet before being made available to the User through the Platform. Outbound calling and outbound SMS associated with a Second Number, where enabled, may likewise be transmitted through Telicall’s systems and one or more Providers. Telicall does not warrant any specific routing path, latency, transmission priority, caller identification treatment, delivery success rate, or interoperability with all carriers, destinations, networks or services.
2.15. A User may be permitted to obtain and maintain more than one Second Number at the same time. Each Second Number may be subject to separate eligibility criteria, separate technical limitations, separate pricing, separate subscription terms, and separate suspension, restriction, reactivation or removal decisions. A Second Number is licensed, not sold, and confers no ownership right, portability right, vested right, goodwill interest, or continuing assignment right except to the extent expressly required by Applicable Law or expressly agreed by Telicall in writing.
2.16. Caller identification presented to the call recipient will be a number selected from Telicall’s or its Providers’ shared outbound caller ID pool. You are not assigned a dedicated telephone number, and the displayed caller ID may vary between calls.
3. Your Representations and Warranties
3.1. By accessing or using Telicall, You expressly represent and warrant that:
3.1.1. You are at least eighteen (18) years old and are accessing and using the Service on Your own behalf and not on behalf of any minor or person lacking legal capacity.
3.1.2. You possess the authority to bind yourself with these Terms without violating any other agreement to which You are a party;
3.1.3. Your use of Telicall will comply with all applicable laws, regulations, and industry standards, including telecommunications, data protection, consumer protection, and export control requirements;
3.1.4. You will not use Telicall for any unlawful, abusive, fraudulent, or unauthorized purpose, nor will You facilitate any such activity by others;
3.1.5. All information You provide to Telicall is true, accurate, complete, and current, and You will promptly update any information that changes;
3.1.6. You will not infringe, misappropriate, or otherwise violate any intellectual property, privacy, or other proprietary rights of Telicall or any third party.
3.2. Telicall reserves the right to suspend or terminate Your access to Telicall and delete Your account if You breach any of the foregoing representations or warranties, or if Telicall determines, in its sole discretion, that You are not eligible to access or use the Services.
3.3. You acknowledge and agree that it is Your sole responsibility to ensure that Your access to and use of Telicall complies with all applicable local, national, and international laws, regulations, and licensing requirements. We make no representation or warranty regarding the legality of Your use of Telicall in any jurisdiction, and You assume all risk and liability in this regard.
4. Purchase and Payment Models
4.1. You may purchase or access Telicall Services through one or more pricing models made available on the Platform, which may include: (i) Telicall Balance funded purchases for eligible usage-based Services; (ii) prepaid calling or SMS Plans or bundles; (iii) one or more Second Number Subscriptions; and/or (iv) separate Usage Charges for inbound/outbound calling, inbound/outbound SMS or other metered functionality where enabled. The availability of any pricing model may vary by Sales Channel, country, Provider, platform, Service type, or commercial offering.
4.1.1. For Pay-As-You-Go usage, a per-minute (or per-unit) charge will be deducted from Your Telicall Balance in real time based on the destination, call type, and applicable rate displayed in the Platform at or before call initiation. Charges are rounded up to the next whole billing unit (e.g., full minute) and will not proceed if Your Telicall Balance is insufficient.
4.1.2. Prepaid Plans / Packages: Telicall may from time to time offer finite, prepaid calling or SMS Plans (e.g., a specific monetary value or minute allowance with a validity period). The full Plan fee will be deducted from Your Telicall Balance upon confirmation. Plans are consumed until the included allowance is depleted or the validity period expires, whichever occurs first, and do not auto-renew. Any further use requires a new purchase.
4.1.3. Telicall Balance may expire as indicated in the Payment, Cancellation and Refund Policy or as shown at purchase; expired Telicall Balance is not refundable or redeemable.
4.1.3.1. Each Second Number may be subject to a separate Second Number Subscription unless Telicall expressly states otherwise on the Platform. A subscription relating to one Second Number does not entitle You to any other number, country, Provider, feature set or usage allowance. Unless expressly included in the applicable offer, a Second Number Subscription covers only the retention of the relevant number and the inbound functionality, if any, specified by Telicall for that subscription, and does not include outbound calling, outbound SMS, premium destinations, special destinations, verification traffic, or any other separately chargeable usage.
4.1.3.2. Where outbound/inbound calling and/or outbound SMS are enabled for a Second Number, such functionality may be charged separately from the relevant Second Number Subscription, including through Telicall Balance deduction, prepaid credits, per-minute fees, per-message fees, bundles, overage charges, or any other pricing model specified on the Platform. Telicall may enable, disable, price, reprice, limit or withdraw such outbound functionality at any time, in whole or in part, without liability except as required by Applicable Law.
4.2. Purchases on the Platform may be processed and billed by Zotlo (Z3P LLP) acting as our Merchant of Record and authorized reseller, or by another duly appointed intermediary (each a “Merchant of Record”). In such cases, payment is deemed made when the Merchant of Record successfully processes your transaction; your order confirmation/invoice will identify that Merchant of Record. The Merchant of Record may perform fraud screening, sanctions/KYC checks, or place temporary holds, and may manage chargebacks and reversals in accordance with card network rules and applicable law. All payments are governed by these Terms, the Payment, Cancellation and Refund Policy, and the Merchant of Record’s/processor’s applicable terms. Any approved refund will be processed via the original payment method by the relevant Merchant of Record and may take up to thirty (30) business days, subject to processor timelines
4.3. Payment
4.3.1. By completing any purchase via the Telicall Platform, You enter into a binding sales agreement with Telicall, governed by these Terms of Service and Policies.
4.3.2. Telicall may from time to time offer time-limited trial access to selected plans or features at no charge. Eligibility, duration, and feature scope of trials are determined solely by Telicall and may be subject to additional limitations.
4.3.3. All fees, whether for one-time purchases, Telicall Balance top-ups or Plan purchases are charged at the time of transaction using Your selected payment method. You authorize Telicall and its authorized payment processors to charge all applicable fees, including taxes, duties, and surcharges.
4.3.4. Telicall accepts multiple forms of payment, including major credit/debit cards, digital wallets, and Platform billing options. You are solely responsible for complying with the terms of any third-party payment provider and for all charges incurred.
4.3.5. Telicall does not store payment credentials. All financial data is processed and stored exclusively by licensed third-party payment service providers.
4.3.6. Prices, plan availability, and tax obligations may vary by jurisdiction and are subject to change at any time prior to purchase. You will be presented with a complete cost breakdown, inclusive of VAT and any applicable regional surcharges, before confirming a transaction.
4.4. Refunds and Cancellations
4.4.1. If You purchase directly through Our website or via a Telicall-approved payment method outside of app stores, all sales are final once Your Telicall Balance has been credited or a Plan has been activated. Refunds, cancellations, or monetary claims for such purchases are handled exclusively by Telicall. Except where required by Applicable Law, we do not offer refunds or credits for unused Telicall Balance, expired Plans, or partially used Plans.
4.4.2. Refund requests for purchases made via mobile platforms such as Apple App Store and Google Play Store are governed solely by the application’s refund policy; You should be aware that no refunds will be issued for deleted accounts following a breach of these Terms. All charges include VAT unless otherwise specified. You may not offset any claims against Telicall except where their claims are undisputed or confirmed by final court judgment.
4.4.3. If You are benefiting from a free trial must cancel before the trial period expires to avoid being charged. Upon cancellation, trial access ends immediately, and no subsequent refunds will be processed.
4.4.4. If You are a consumer in the EU or UK, by requesting provisioning, reservation, of any Plan, Second Number, Second Number Subscription, or other digital Service during the statutory withdrawal period, You expressly request and consent to immediate performance and acknowledge that, once such performance begins, You may lose any applicable withdrawal right to the fullest extent permitted by Applicable Law. For the avoidance of doubt, number assignment, reservation, provisioning, activation, routing enablement, or making a Second Number available in Your account shall constitute commencement of performance.
4.4.5. If a charge is disputed, charged back, reversed, or suspected as fraudulent, we (or the Merchant of Record) may suspend or terminate the affected Plan(s) or account and offset any Telicall Balance against amounts owed, subject to Applicable Laws.
4.4.6. Refunds or credits are not available due to device incompatibility, device change, loss or theft of Your device, operating-system updates, firewall or network restrictions, or failed attempts to use the Services on unsupported devices or networks.
4.4.7. If the applicable Second Number Subscription expires, is cancelled, is not renewed, is reversed, is charged back, or otherwise ceases, Telicall may place the relevant Second Number into Passive Number status. During Passive Number status, Telicall may suspend all or part of the functionality associated with that number, including inbound and outbound capability, while reserving the number for possible reactivation by the same User for a limited continuity period of up to thirty (30) days, unless a different period is specified on the Platform or required by a Provider or Applicable Law. During that continuity period, Telicall may, but is not obliged to, permit the same User to reactivate the number through another supported platform or Sales Channel. Telicall may deny, restrict, condition or refuse such reactivation or continuity transfer at any time for technical, legal, regulatory, Provider-related, billing, fraud, abuse, sanctions, security or commercial reasons. If the number is not reactivated within the applicable period, or if Telicall elects not to permit reactivation, the number may be removed from Your account, released, quarantined, returned to the Provider, or otherwise disposed of by Telicall without liability. Passive Number status does not constitute an extension of the expired subscription term, does not guarantee continuity, does not preserve full service functionality, and does not create any refund, credit, compensation, portability or reinstatement right unless required by Applicable Law.
4.5. Registration, Activation, Compatibility, and Tax Obligations
4.5.1. To access certain features of the Telicall Platform or utilize the Services, You may be required to register for an account and provide specific information. During registration, you may be asked to provide information including, without limitation, your name, email address, organization, tax id, billing details, and other data reasonably necessary to verify your identity or manage your account. Telicall may, at any time, request additional information, documentation, or verification to ensure compliance with applicable law or internal security standards. Failure to provide requested verification may result in delayed provisioning, suspension, or cancellation.
4.5.2. Telicall may impose additional terms and conditions regarding account eligibility or access to particular features. We reserve the right to deny, suspend, or revoke account access at Our sole discretion.
4.5.3. If authentication features such as passwords or one-time passwords (OTP) are enabled, You are solely responsible for safeguarding Your credentials. By using OTP, You agree to receive such messages from Telicall. You must immediately notify Telicall of any unauthorized access. To the extent permitted by law, You are fully responsible for all activities conducted under Your account.
4.5.4. You are obligated to provide accurate, complete, and current registration information, and to promptly update it if there are changes (including Your contact details). Failure to do so may result in failed or delayed communications. Notices sent to the last provided contact information shall be considered valid.
4.5.5. Any personal data submitted via the Platform is processed in accordance with applicable data protection laws and the Telicall Privacy Policy.
4.5.6. By registering, You consent to receive service-related communications, including alerts and notices, via the contact details provided to Telicall.
4.5.7. Telicall may process anonymized and aggregated data, including usage metrics, for internal analysis and reporting, provided such data cannot be used to identify You personally.
4.5.8. To use the Services, You must download and install the Telicall application (where applicable), create an account, and maintain a stable internet connection. Telicall is not responsible for failures caused by firewalls, blocked ports, carrier restrictions on VoIP, or other network-level limitations.
4.5.9. You are responsible for any taxes, duties, or levies imposed in connection with Your purchase (excluding Telicall’s own income taxes). Where applicable, You must report and remit such amounts directly to the appropriate authorities.
4.5.10. Subject to Telicall’s technical controls and billing rules, the same User account may be accessed through more than one supported platform, and a Second Number associated with that account may in certain circumstances be viewable or usable across such platforms. However, Telicall may restrict, prevent, invalidate or log out simultaneous sessions, concurrent registrations, concurrent calling, concurrent messaging, or simultaneous use of the same account or number across devices or platforms. Telicall’s records regarding the applicable subscription status, authorized platform use, and active entitlement shall be final absent manifest error.
5. Termination
5.1. The right to use granted to You for use of the Services is effective until terminated. At any time, at Our sole discretion and without liability to You, with or without prior notice, Telicall may modify, suspend, or discontinue all or any part of the Platform or Services, including features, content, or functionality, for any reason, such as if continued operation is no longer commercially viable. Upon termination, any unused Telicall Balance will automatically expire and is non-refundable, unless otherwise required by Applicable Law.
5.2. We may terminate Your access to the Platform, Services, or Your account immediately and without notice, delete or deactivate Your account and all related data, and/or terminate these Terms, in Our sole discretion and for any reason, including if You breach these Terms or violate any applicable law.
5.3. You may terminate Your right to access or use the Services at any time by submitting a cancellation request through the Platform and removing the application from Your devices. Termination requests are subject to verification and may require additional communication from Your side to confirm identity and finalize the process. Termination will take effect only after such confirmation is completed and may take up to thirty (30) days from the date of Your request. Once processed and confirmed, termination is final and cannot be reversed.
5.4. You acknowledge that Telicall’s decisions to limit access, suspend, or terminate Services or accounts may be based on confidential risk management and security criteria, and we are under no obligation to disclose these procedures or criteria.
5.5. Telicall shall not be liable for any loss, damage, or harm arising from suspension or termination of the Services or Your account, to the extent permitted by applicable law.
5.6. Upon termination, all rights granted to You under these Terms shall immediately cease, and You must cease all use of the Services and delete or return all downloaded materials where practicable.
6. Mass-Calling, Spam & Network Abuse
6.1. Telicall may restrict, block, suspend, filter, throttle or permanently terminate access to any part of the Services, without refund except as required by Applicable Law, if we detect or reasonably suspect mass-calling, automated or scripted dialing, predictive dialing, spam, telemarketing campaigns, robocalling, caller-ID spoofing, SMS pumping, traffic stimulation, OTP or verification abuse, phishing, unlawful campaigning, impersonation, commercially exploitative routing, resale, unauthorized aggregation, fraud traffic, artificially generated inbound or outbound activity, or any usage that may trigger carrier blocking, Provider sanctions, regulatory inquiries, legal exposure, reputational harm, or infrastructure degradation.
6.2. You are solely responsible for ensuring that all outbound calls comply with all applicable laws, regulations, and industry rules, including without limitation consumer-protection rules, consent-based calling rules, do-not-call requirements, privacy and data-protection laws, the Telephone Consumer Protection Act of 1991 (United States), and the rules and regulations of the Federal Communications Commission (United States), as well as any carrier registration or verification requirements in any applicable jurisdiction.
6.3. Where messaging functionality is enabled, You are solely responsible for ensuring that all inbound and outbound message-related use complies with all applicable laws, regulations, carrier rules, industry standards and messaging requirements, including without limitation consent rules, anti-spam laws, consumer-protection laws, registration obligations, sender-identification requirements, age-gating rules, sanctions controls, content restrictions, and any Provider or platform requirements applicable to the relevant route, country or use case.
6.4. Telicall may require documentation of consent, campaign registration, or intended use before restoring service. Remaining Telicall Balance may be seized or withheld to offset fraud-related costs, penalties, or damages, to the extent permitted by Applicable Law. No refunds or credits will be issued in connection with suspensions based on abusive traffic.
6.5. Telicall may impose and enforce fair-usage limits, throughput controls, message-volume caps, call-volume caps, storage limits, routing limits, destination restrictions, automated-traffic controls, spam filters, fraud checks, verification controls, account-level thresholds, number-level thresholds, country-level thresholds and other technical or operational restrictions on any Service, including inbound calling, inbound SMS, outbound calling and outbound SMS, whether or not such thresholds are displayed in the user interface. Telicall may throttle, filter, block, suspend, restrict or terminate any account, number, message flow, destination, route or use case that Telicall determines, in its sole discretion, to be excessive, abusive, automated, commercially exploitative, suspicious, unlawful, or operationally harmful.
7. Force Majeure
Telicall shall not be liable for any loss or damage arising from any event beyond Telicall’s reasonable control, including, but not limited to natural disasters, fire, war, riots, labor disputes, civil disturbance, actions of government, power, network or other infrastructure failures, or equipment or software malfunction or large scale internet or carrier outages including failures or interruptions in internet backbone, cloud-service, or payment-gateway operations. (“Force Majeure”). For clarity, Provider actions, including abrupt cost increases, country shutdowns, regulatory orders affecting Providers, or loss of connectivity are included among the events that excuse performance as Force Majeure.
8. Entire Agreement
8.1. These Terms, together with the Payment, Cancellation and Refund Policy, Privacy Policy, and any posted acceptable use/code of conduct, constitute the entire agreement for the Services and are incorporated by reference. If there is a conflict, these Terms prevail except that payment mechanics, credits, and refunds are governed by the Payment, Cancellation and Refund Policy.
9. Amendment
Telicall may amend/update these Terms at any time without any specific notice. The latest version of the Terms published on the Platform are applicable to all Users. You are responsible of checking the latest version published on the Platform.
10. Waiver
Any failure or delay in exercising any right, power or privilege Telicall is granted under these Terms shall not be regarded as a waiver thereof.
11. Assignment
11.1. Any right and obligation of You under these Terms shall not be assigned or transferred to any third party without obtaining prior written consent of Telicall.
11.2. Telicall, on the other hand, may assign or transfer any or all of its rights and obligations under these Terms to any third party without any need to obtain Your approval or consent.
12. Severability
In the event that any clause of these Terms is deemed invalid or unenforceable, the remainder of these Terms shall remain in full force and effect. The invalid portion of these Terms, on the other hand, shall be regarded as modified as closely as possible to the intent of Telicall.
13. International Availability
Availability of the Services, including specific features, Plans and language versions, varies by country and may change at any time.
14. Privacy
Please find our Privacy Policy for detailed information about how we collect, use and disclose the information/personal data given by You. Transfer and storage of information about You is governed by our Privacy Policy as well. Data security is provided by the Platform. However, You are responsible for any unauthorized access to Your information; abusing, storage, reproduction, sale, copying, as well as illegal use of Your information, contact information and other content.
15. Code of Conduct
15.1. The Services offered through the Platform shall not be used for any purposes other than what is set out by the Company, in accordance with these Terms. In this regard, the Services are provided for and limited with personal, non-commercial, non-exclusive, limited, non-transferable use only.
15.2. Therefore, while accessing and/or using the Platform and the Services, (as an unrestrictive list) You are explicitly prohibited to and You shall NOT:
15.2.1. Use the Platform and Services against any applicable laws, either local, federal, national, or international,
15.2.2. Use the Services or Content to support, or engage in any illegal activities including, but not limited to, illegal gambling, fraud, money laundering, or terrorist activities,
15.2.3. Use the Platform, Content or Services in a way that disrupt, adversely affect, prevent or obstruct provision of Services and use of Services by other users,
15.2.4. Access without authorization to any Telicall IP or Content to which You are not permitted to access or use,
15.2.5. Make any commercial use of the Services and Content, develop third party applications benefiting from Our Services and Content,
15.2.6. Copy, decompile, disassemble or reverse engineer any software that is a part of the Platform, Content and Services,
15.2.7. Use any spider, robot, cheat utility, scraper, offline reader or any other automated means that accesses the Platform and Telicall Content; use or launch any unauthorized script or other software; or upload any harmful software such as a virus or a Trojan horse,
15.2.8. Attempt to interfere with or disable any features of the Platform, or create undue traffic or other burden on the Platform or related networks,
15.2.9. Systematically retrieve any content or data from the Platform to create reference or compile such data to form a collection, compilation, database, or directory or use any infrastructure, software, application or other tool that acts as or constitute an information or data collection or transmission mechanism,
15.2.10. Disclose private information pertaining to Platform, Services or the Company to third parties,
15.2.11. Use the Platform to market, advertise or offer to sell goods or services,
15.2.12. Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in the Platform or any material.
15.2.13. Resell, sublicense, share, or re-route the Services (including via tethering for commercial traffic aggregation) except as expressly permitted.
15.2.14. export/re-export the Services to prohibited destinations or parties.
15.3. Any prohibited use of the Platform and Services may have serious legal and contractual consequences, including but not limited to the termination of Your use of Our Services, deletion of Your account, compensation of damages.
15.4. Telicall may suspend or terminate accounts, and take other actions it deems necessary to enforce these rules and protect the Platform integrity.
15.5. Telicall reserves the right, and may be legally required, to monitor, investigate, and report any suspected unlawful, abusive, fraudulent, or prohibited activity related to the Platform or the Services to competent governmental, regulatory, or law enforcement authorities. To the extent permitted by applicable law, Telicall may disclose relevant user information, transaction records, or communication logs to such authorities or to third-party compliance service providers assisting in fraud prevention, sanctions screening, or anti-money-laundering compliance. You acknowledge and agree that Telicall shall not be liable for any disclosure or action taken in good faith under this clause, and that such disclosures may be made without prior notice to You if required or authorized by law. All disclosures under this section shall be made in accordance with the Privacy Policy and applicable data-protection law.
15.6. You further represent and warrant that You are not (i) located in, ordinarily resident in, or accessing the Services from any jurisdiction or territory that is subject to comprehensive trade or economic sanctions or embargoes, or (ii) a person, entity, or organization listed on any sanctions-related restricted party list maintained by the European Union, the United Kingdom, the United States, or other applicable authorities. You shall not use the Platform or Services in violation of any applicable export control, sanctions, or anti-boycott laws or regulations.
15.7. Telicall and the relevant Merchant of Record reserve the right to reject, suspend, or cancel any transaction, and to withhold or deny any refund, replacement, or service delivery, if doing so would expose either party to a violation of such laws or regulations. Any approved refund will be processed through the original payment method by the relevant Merchant of Record and may take up to thirty (30) business days, depending on the payment processor’s policies.
16. Risk Disclosure
16.1. Access to VoIP calling and PSTN termination via the Services may degrade, fail, or become temporarily unavailable during periods of network congestion, high demand, software maintenance, firewall or carrier restrictions, or other network-side issues, which may prevent You from placing or completing calls and may delay technical support.
16.2. The Telicall Platform, user interface, and any related documentation or communications may contain inaccuracies, omissions, or outdated information regarding device compatibility, supported carriers, pricing, or country coverage.
16.3. Telicall relies on third-party carriers, VoIP transport providers, and technology partners to deliver connectivity. Termination of our partnerships, material changes to their terms, network outages, regulatory interventions, or technological shifts may impair or suspend Your access to the Services.
16.4. You expressly accept that neither Telicall nor its partners guarantee continuous service, and that You may experience service interruptions or degraded performance beyond Our control.
16.5. In the event of any dispute with other users, carriers, or content providers regarding Services, Plans or calls, You release Telicall and its affiliates from all claims, liabilities, costs, and damages arising out of or relating to such disputes. To the maximum extent permitted by law, you release us from claims arising from disputes with other users or Providers related to Plans or usage.
16.6. We do not guarantee that Our Services will always be available or be uninterrupted. You are responsible for making all arrangements necessary for You to have access to Our Services.
16.7. We do not represent that Our Services will be available in other jurisdictions. We may limit the availability of Our Services or specific functionality to any user or geographic area at any time. You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with your use of the Service.
17. Your Obligations
17.1. Without prejudice to the Terms of Service, the Your obligations are as follows:
17.1.1. Use the Service in compliance with these Terms of Service and to be responsible for all use of the Service from Your account,
17.1.2. Submit true, accurate, and complete registration information, and to keep such information up-to-date,
17.1.3. Keep the password confidential at all times and will be responsible for all use of the account and password. We reserve the right to remove, reclaim, or change a username You select if we determine, in Our sole discretion, that such username is objectionable,
17.1.4. Use the Service in accordance with all applicable laws and regulations of the home nation, the country of residence, and the country in which You are present when the Service is being used by You,
17.1.5. You agree that You are solely liable for the use of any prohibited and/or restricted services under any applicable laws and regulations of Your home nation, country of residence, and the country in which You are present when using the Services. You agree and accept to indemnify and hold Telicall harmless from any and all claims arising from and/or in relation to such use.
17.1.6. You agree that You are solely responsible for complying with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with Your use of the Service.
17.1.7. You agree that the Service shall be used for personal consumption only,
17.1.8. You agree that the Service shall not be used to engage in any action that is abusive, illegal or fraudulent or that causes the network to be impaired or damaged,
17.1.9. You agree that the credits, promotions and referrals for the Services (the “Program”) shall not be used to undermine the fairness, integrity or legitimate operation of the Program, including, but not limited to, creating fake accounts or using fictitious identities to participate in the Program or receive rewards, or selling or transferring Program benefits. Telicall, in its sole discretion, reserves the right to disqualify You from the Program and future use of Our Services.
17.1.10. You agree that Telicall may suspend Your use of the Service in case of breach of the above obligations, and that You will continue to be liable and shall pay all charges due under these Terms of Service in respect of the suspended Services. Do note that any attempt to deliberately damage or undermine the legitimate operation of the Services and the Program may be in violation of criminal and civil laws,
17.1.11. You acknowledge that Telicall reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.
18. Indemnification
18.1. You agree to defend, indemnify and hold harmless Telicall, its parent and subsidiary companies, and each of their respective officers, directors, employees, agents, partners and licensors (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including, without limitation, reasonable attorneys’ fees and court costs) arising out of or relating to any third-party claim, action or proceeding brought against an Indemnified Party to the extent that such claim is based upon or arises out of:
18.1.1. Your breach or alleged breach of these Terms or any representation, warranty or covenant made by You herein;
18.1.2. Your use of (or inability to use) the Service, including any data or content You submit, post or transmit;
18.1.3. Any violation by You of applicable law, regulation or the rights of any third party (including intellectual property, privacy or publicity rights);
18.1.4. Your negligent, wilful or reckless act or omission in connection with your use of the Service;
18.1.5. Your deployment or use of any automated data-gathering or extraction tools (e.g., bots, spiders, crawlers) that impose an unreasonable load on Our infrastructure; or
18.1.6. Any harmful, harassing or illicit conduct by You toward another user of the Service.
18.2. You will (a) promptly notify the Indemnified Parties in writing of any claim for which indemnification is sought; (b) grant the Indemnified Parties sole control over the defense and settlement of such claim (provided that no settlement may impose any liability or obligation on an Indemnified Party without its prior written consent); and (c) cooperate fully, at Your expense, with the Indemnified Parties’ reasonable requests in connection with the defense and settlement of the claim. The Indemnified Parties reserve the right, at Your expense, to assume exclusive control of such defense.
19. Intellectual Property Rights
19.1. The Platform is the proprietary property of the Company and all content therein including but not limited to signs, text, graphics, pictures, information, data, software, sound files, source codes, databases, functionality, website designs, audio, video, text, photographs, and graphics and the trademarks, service marks, and logos (collectively, the “Telicall IP”) are owned by us and/or licensed to us and/or controlled by us; and are protected through various intellectual property rights.
19.2. The Telicall IP is provided on the Platform for the permitted use only, in accordance with these Terms. Therefore, copying, reproducing, republishing, uploading, aggregating, publicly displaying, encoding, translating, distributing, selling, licensing, reverse engineering or in any other way exploiting any part of the Platform and/or Telicall IP for any unauthorized and prohibited purpose, without express prior written permission of the Company is strictly prohibited.
19.3. You are granted a limited use right to access and use the Telicall IP, Platform and Services, provided that You are eligible to under these Terms. However, Telicall, at any time, reserves the right to terminate Your access to the Platform, the Services, the Telicall IP and if applicable revoke the use rights or licenses provided.
19.4. It is prohibited to give unauthorized links to the Platform and the Services as well as framing of any information contained on the Platform or any portion of the Platform. If any unauthorized link or framing is detected, Telicall reserves the right to disable the unauthorized links or frames right away or request for the link to be removed.
19.5. In any event, Telicall shall not be held responsible or liable for any material on third party websites which contains link to the Platform and the Services. Similarly, Telicall has no responsibility or liability for framing of any information contained on the Platform or any portion of the Platform.
19.6. It is prohibited to develop any third party applications that interact with Our Services or integrate Our Services into any third party applications through application programming interfaces (API) unless such license is explicitly granted. Separate license terms shall be executed in order for Telicall to grant any such license.
20. Disclaimer of Warranties
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE THAT YOUR USE OF TELICALL, INCLUDING THE PLATFORM AND ALL ASSOCIATED SERVICES AND CONTENT, IS AT YOUR SOLE RISK. TELICALL IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TELICALL AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, OR UNINTERRUPTED OPERATION.
TELICALL MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR BE COMPATIBLE WITH YOUR DEVICES, SOFTWARE, OR NETWORK ENVIRONMENT. TELICALL DOES NOT WARRANT THAT THE SERVICES OR ANY CONTENT OBTAINED THROUGH TELICALL IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS. WHILE TELICALL IMPLEMENTS COMMERCIALLY REASONABLE TECHNICAL AND ORGANIZATIONAL SAFEGUARDS CONSISTENT WITH INDUSTRY STANDARDS, NO SYSTEM OR NETWORK IS COMPLETELY SECURE OR ERROR-FREE. YOU USE THE SERVICES AT YOUR OWN RISK AND ARE SOLELY RESPONSIBLE FOR MAINTAINING APPROPRIATE DATA BACKUPS, SECURITY CONFIGURATIONS, AND PROTECTIVE MEASURES ON YOUR DEVICES AND NETWORKS. YOU ARE RESPONSIBLE FOR IMPLEMENTING AND MAINTAINING APPROPRIATE DEVICE AND NETWORK SECURITY (E.G., OS UPDATES, ANTI-MALWARE, SECURE NETWORK CONFIGURATION) AND FOR SAFEGUARDING YOUR ACCOUNT CREDENTIALS AND ANY ACCESS TOKENS OR AUTHENTICATION CODES USED WITH THE SERVICES. TELICALL IS NOT LIABLE FOR ANY LOSS ARISING FROM YOUR FAILURE TO DO SO.
YOU UNDERSTAND AND AGREE THAT TELICALL IS NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, APPLICATIONS, OR SERVICES ACCESSIBLE THROUGH TELICALL, AND THAT ANY DEALINGS WITH THIRD PARTIES ARE AT YOUR OWN RISK. TELICALL DOES NOT REVIEW, ENDORSE, OR ASSUME LIABILITY FOR ANY THIRD-PARTY MATERIALS, AND YOU ASSUME ALL LIABILITY FOR INTERACTIONS WITH THIRD-PARTY PROVIDERS OR USERS.
YOU ACKNOWLEDGE THAT THE INTERNET, MOBILE NETWORKS, AND TELECOMMUNICATIONS SYSTEMS ARE INHERENTLY INSECURE AND SUBJECT TO INTERRUPTION, INTERCEPTION, LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS BY THIRD PARTIES. TELICALL MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, REGARDING (I) THE SECURITY OF ANY TRANSMISSION OF DATA OR COMMUNICATIONS THROUGH PUBLIC OR PRIVATE NETWORKS; (II) THE PREVENTION OF UNAUTHORIZED ACCESS, HACKING, MALWARE, OR OTHER SECURITY BREACHES; OR (III) THE INTEGRITY OR CONFIDENTIALITY OF ANY DATA TRANSMITTED, STORED, OR OTHERWISE PROCESSED THROUGH THE SERVICES.
TELICALL IS UNDER NO OBLIGATION TO PROVIDE MAINTENANCE, SUPPORT, OR UPDATES EXCEPT AS EXPRESSLY STATED IN THESE TERMS; ANY SUPPORT PROVIDED IS AT TELICALL’S SOLE DISCRETION.
YOU ACKNOWLEDGE AND AGREE THAT IT IS YOUR SOLE RESPONSIBILITY TO ENSURE THAT YOUR ACCESS TO AND USE OF TELICALL COMPLIES WITH ALL APPLICABLE LOCAL, NATIONAL, AND INTERNATIONAL LAWS, REGULATIONS, AND LICENSING REQUIREMENTS. TELICALL MAKES NO REPRESENTATION OR WARRANTY REGARDING THE LEGALITY OF YOUR USE OF TELICALL IN ANY JURISDICTION, AND YOU ASSUME ALL RISK AND LIABILITY IN THIS REGARD.
TELICALL EXPRESSLY DISCLAIMS ANY LIABILITY FOR LEGAL COMPLIANCE OR NON-COMPLIANCE BY USERS. UNDER NO CIRCUMSTANCES SHALL TELICALL BE RESPONSIBLE FOR DETERMINING OR ENSURING THAT YOUR ACCESS TO OR USE OF THE SERVICES CONFORMS TO ANY LEGAL OR REGULATORY REQUIREMENTS IN ANY JURISDICTION.
TO THE EXTENT THAT ANY WARRANTY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, SUCH WARRANTY SHALL BE LIMITED IN DURATION TO THE SHORTEST PERIOD PERMITTED BY LAW.
21. Limitation of Liability
In no event shall Telicall or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation lost profits, data loss, business interruption, or loss of goodwill, arising out of or related to these Terms or Your access to or use of the Services, even if Telicall has been advised of the possibility of such damages.
Notwithstanding the foregoing, Telicall’s total aggregate liability for any and all claims arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of (a) the total amount of fees actually paid by You to Telicall for the specific Services giving rise to the claim in the one (1) month preceding the claim, or (b) five U.S. dollars (USD 5).
The limitations and exclusions set forth above shall not apply to liability that cannot be limited or excluded by applicable law, including liability for death or personal injury caused by Telicall’s negligence, fraud, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.
You acknowledge that these limitations of liability are fundamental elements of the agreement between You and Telicall, and that Telicall would not be able to provide the Services on an economic basis without such limitations. Telicall is under no obligation to provide maintenance, support, or updates except as expressly stated in these Terms. Any support provided is at Telicall’s sole discretion.
You acknowledge and agree that it is your sole responsibility to ensure that your use of Telicall complies with all applicable local, national, and international laws, regulations, and licensing requirements. Telicall makes no representation or warranty regarding the legality of your use of Telicall in any jurisdiction, and You assume all associated risk and liability.
22. Applicable Law and Jurisdiction
22.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws rules.
22.2. The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms.
23. Third Party Contents
23.1. There may be references and links to third party websites and applications on the Platform and/or You may view content provided by third party websites and applications while using the Services (“Third-Party Content”).
23.2. We have no control over Third Party Content. You hereby acknowledge and agree that Telicall has no responsibility to examine, control, endorse or monitor any Third-Party Content. Third Party Content may be misleading, incomplete, erroneous, offensive or indecent. When You click on a link to, or access and use, a third-party website or third-party application, though we may not warn You that You have left Our Service, You are subject to the terms and conditions (including privacy policies) of another website or destination. We are not responsible or liable for any third-party websites, third party applications, and third-party materials. You shall use all links at Your own risk.
23.3. You view Third Party Content at Your own risk and Telicall will not be held liable for any loss or damage arising out of Third-Party Content or services.
23.4. It is Your responsibility to read and accept the terms and conditions and policies of any third-party website or application.
24. Language and Translation
These Terms are originally drafted in English. Any translation of these Terms into another language is provided solely for convenience. In the event of any conflict, inconsistency, or ambiguity between the English version and any translated version, the English version shall govern and prevail. The English version shall be used in all legal or administrative proceedings.

We may provide notices via email to your latest email you shared or via in-product messaging. Notices are deemed received when sent (email) or when posted (Platform). You must keep your contact details current.
