Kay Madati liked thisKay Madati liked this🔎 Who will be sitting around the board table five years from now? 🔍 Building on decades of Spencer Stuart research, I am pleased to share Harvard Law School Forum on Corporate Governance's preview of our 2026 U.S. Board Index, co-authored with George Anderson and Ann Yerger. 📉 S&P 500 boards appointed the fewest new directors since 2016. If board refreshment slows, boards have fewer opportunities to add current experience and fresh perspectives. The practical implication: Boards cannot afford to wait for a vacancy to begin succession planning; they need an “always-on” approach: regularly defining the experiences, capabilities and perspectives their future strategy will require ... and building relationships with potential directors well in advance. Bottom line: Board refreshment is most effective when tied to the strategy ahead - not simply a departure behind. Drawing on decades of research and data - combined with unparalleled access to talent - Spencer Stuart helps boards look beyond the next vacancy; anticipating the capabilities, perspectives and leadership needs their strategy will demand. Kay Madati liked thisKay Madati liked thisSomething has shifted for me this year. My career and my family life have never felt more vivid. Time with my son. Music and travel and staying inside the culture I love. Working alongside people I’m genuinely learning from, building with, and growing alongside every day. All of it connected. It's not that these things suddenly started feeding each other. They always have. The difference is I can finally see it clearly. And that clarity has changed everything. At a time when the world is evolving faster than most pulse rates can keep up with, I've found congruence across the personal and the professional that I haven't always had. That means more than I know how to say. I stopped trying to keep the personal and the professional in separate boxes. Let myself love what I do without apology. Showed up more fully for the work and, in doing so, showed up more fully for myself. What I didn’t expect. My son is learning from this too. He doesn’t see work as the thing that takes me away. He sees it as something we share. And I see that showing up in how he chases his own passions. There’s an important difference between work consuming your identity and work being an authentic expression of it. That's not everyone's path. I know that. Some people need clear boundaries between who they are and what they do for a living. That's valid. For me, the opposite has been true.

Kay Madati liked thisKay Madati liked thisLast week, more than 400 of our firm’s next generation of leaders came together in Boston for our Americas Connections Conference. The energy, curiosity and collaboration throughout our time together were a great reminder of what makes Heidrick & Struggles such a special place to build a career. I left feeling incredibly proud of our firm’s longstanding commitment to attracting exceptional talent and investing in their development. As AI continues to reshape how we work and the expectations of leaders, developing the curiosity, judgment and adaptability to navigate change has never been more important. These are the capabilities that will help us continue to make a meaningful impact across the many ways we support leaders, teams and organizations in an evolving leadership landscape. A huge thank you to everyone who worked behind the scenes to make the conference possible—and to all who joined us. I’m incredibly grateful for our Americas team!

Kay Madati liked thisKay Madati liked thisA few weeks ago, the Harvard Business School African-American Alumni Association held its third annual summer reception at the Harbor View Hotel in Edgartown, Martha's Vineyard... Over 175 alumni, students, and friends gathered for an evening of community. Board Chair Michael A. Persaud (MBA 1994), Co-President Mark D. Persaud (MBA 1992/JD 1993), and Board Member Ray Eason (MBA 2004) shared remarks. Walt Frye (MBA 2000) and InkWell Tides captured our community's history on the island through personal video stories. Michael and Mark Persaud walked us through the association's strategic plans and intent to expand into additional cities in the United States. Good to spend part of the night with Victor Williams. One thread I left thinking about: the #NBA is expanding its franchise across Africa, and that will require real investment in the sports infrastructure underneath it. Great to connect with old and new friends, including Mark Tatum, Mark Mason, Tarrus Richardson, and J.Dennis Jean-Jacques. Thank you to the board and to everyone who put it together. See you next year. Pictured, left to right: Brickson Diamond, Victor Williams, and me.

Kay Madati liked thisKay Madati liked thisDr. Brian Acacio ran a fertility clinic in Laguna Niguel until the Medical Board suspended his license for drug use and he was evicted from his own facility. Amid that collapse, he transported his current patients' embryos halfway across the state to Bakersfield — without their consent. The viability of those embryos remains unknown. The stress and expense inflicted on these families has been enormous. Then it got worse. Acacio refused to return the embryos unless his patients signed a waiver releasing him from all liability. We filed suit on behalf of what is now more than 250 of Acacio's patients, seeking the return of their embryos and damages for everything they have endured. When defense lawyers appeared in the case, we were briefly optimistic. Surely counsel would recognize the situation and arrange a prompt, unconditional return. Instead, they doubled down and likewise insisted that our clients sign a waiver. That was never going to happen. We filed a motion for injunctive relief to compel the return of our clients' embryos. Four days before the hearing, Acacio and his attorneys relented and signed a stipulated court order for their return — no waivers. It should not take a lawsuit and a motion for a doctor to return what belongs to his patients. But it did, and the embryos are now coming home. Our work continues: holding this doctor and his clinic accountable for everything our clients have been put through.

Kay Madati reacted on thisKay Madati reacted on thisI’m GRATEFUL. Extremely grateful for my time at the Association of National Advertisers. I joined in May 2000. My full-time gig ended in early July and I have been part time since. That comes to a close today, August 31, 2026. More than 26 years. I am proud to have been part of the team that grew membership from under 200 companies to some 1600 today … and have seen the staff grow from just 28 to 190. More than that, I have seen ANA become a robust and respected organization … something that wasn’t the case in 2000. I am proud to have been part of many important industry leadership initiatives in areas including media transparency, ad fraud, programmatic media, influencer marketing, agency relations, in-house agencies, procurement, B2B, multicultural marketing and diversity. I began my career in media at the agency Dancer Fitzgerald Sample (before it was bought by Saatchi) and then moved into account management at Grey Advertising. After 20 years working at agencies, I was looking for a new challenge. I thought I wanted to go to the client-side. Instead, a lunch with Bob Liodice, before he was CEO (we were a client/agency team when he was at General Foods and I was with Grey) made me aware of an opportunity at the ANA. I applied and was hired. I have reported to Bob for the past 24 years and am grateful for his leadership as well as his belief in me. Also grateful to Jim Speros (a long time ANA board member and eventually our Chairman) for our working relationship in my early years as well as Tony Pace (also a board member and Chairman) who left us far too soon. Ellen Hyde Pace I am totally at peace with my decision to “step down” … I do not believe in the “R” word. Part time has been nice for the past two months. More time with my wife, Amelia. We spent half the summer on Cape Cod, where we are fortunate to have a house. I have been able to swim in the Atlantic, go bike riding, play mediocre golf, and more. I look forward to even more of that now. Again, very GRATEFUL.

Kay Madati liked thisKay Madati liked thisNew streak: I’ve joined Duolingo as Senior Director of Product Design, New Subjects. 💚🦉 I’ve always been drawn to the early stages of building something new, figuring out what a product could be and working with a team to make it real. So when the opportunity came along to do that at Duolingo, it felt like an easy yes. I’m leading design for New Subjects, exploring what learning beyond language can look like across Chess, Math, Music, and what comes next. There’s plenty happening around AI and experimentation, but what excites me most is the chance to build entirely new ways for people to learn. What felt special through the process was seeing how much room design has to shape the product here. At a moment when our industry is changing quickly, I was drawn to a culture that values human creativity, craft, and playfulness as part of what makes a great experience. And I’m especially happy and very thankful to be teaming up with Mig Reyes. On week one, there’s a lot to learn and a lot to build. Let’s go!

Media mogul Ariel Emanuel's newly formed experiences venture, MARI Group, signed a definitive agreement to #acquire ATG Entertainment from private equity powerhouse Providence Equity Partners. The deal, valued at $6 𝐛𝐢𝐥𝐥𝐢𝐨𝐧 (£4.5 𝐛𝐢𝐥𝐥𝐢𝐨𝐧), represents a represents a ~21.6𝐱 𝐄𝐕/𝐄𝐁𝐈𝐓𝐃𝐀 𝐦𝐮𝐥𝐭𝐢𝐩𝐥𝐞 and definitive consolidation of premium live theatre and ticketing architecture. This #valuation is justified not just by prime West End and Broadway real estate, but by creating an end-to-end live entertainment monopoly bridging venue ownership, content production, and proprietary TodayTix ticketing distribution. 𝐕𝐚𝐥𝐮𝐚𝐭𝐢𝐨𝐧 𝐃𝐫𝐢𝐯𝐞𝐫𝐬 & 𝐒𝐭𝐫𝐚𝐭𝐞𝐠𝐢𝐜 𝐑𝐚𝐭𝐢𝐨𝐧𝐚𝐥𝐞 — • 𝐄𝐁𝐈𝐓𝐃𝐀 𝐌𝐮𝐥𝐭𝐢𝐩𝐥𝐞 𝐄𝐱𝐩𝐚𝐧𝐬𝐢𝐨𝐧: The ~21.6x multiple aligns with premium experiential assets, supported by #ATG’s robust financials (£208M adjusted EBITDA on £924M revenue). • 𝐕𝐞𝐫𝐭𝐢𝐜𝐚𝐥 𝐈𝐧𝐭𝐞𝐠𝐫𝐚𝐭𝐢𝐨𝐧 𝐒𝐲𝐧𝐞𝐫𝐠𝐲: Owning 70 global venues alongside the #TodayTix platform eliminates middleman ticketing fees and captures high-margin secondary revenues. • 𝐈𝐧𝐞𝐥𝐚𝐬𝐭𝐢𝐜 𝐃𝐞𝐦𝐚𝐧𝐝 𝐌𝐨𝐚𝐭: Live theatre attendance (19 million annual patrons) provides predictable, recurring cash flows insulated from digital ad-spend volatility. • 𝐄𝐜𝐨𝐬𝐲𝐬𝐭𝐞𝐦 𝐂𝐫𝐨𝐬𝐬-𝐏𝐨𝐥𝐥𝐢𝐧𝐚𝐭𝐢𝐨𝐧: #MARI leverages cross-promotional data across its diverse portfolio — spanning tennis, art fairs, and now tier-one theatrical stage productions. 𝐕𝐚𝐥𝐮𝐚𝐭𝐢𝐨𝐧 𝐕𝐞𝐫𝐝𝐢𝐜𝐭 — At an estimated ~21.6x multiple, the transaction represents a fair to premium valuation. While the price tag is heavy, ATG Entertainment’s monopolistic control over prime West End and regional theatre real estate, combined with resilient high-margin ticket sales, justifies the capital outlay. Mari Group is paying for unassailable market share and irreplaceable cultural infrastructure. The #merged entity is poised to dominate theatrical touring networks on both sides of the Atlantic. By streamlining production pipelines directly into owned-and-operated venues, Mari Group mitigates third-party promoter risk and captures higher margins across the entire entertainment value chain. #CorporateValuation #CorporateFinance #PrivateEquity #IFRS #ASC805 #InvestmentBanking #409a #SEC #IRC482 #IRC338 #Acquisition
