Keith Fraidenburg, MBA liked thisKeith Fraidenburg, MBA liked thisThere is an important takeaway in the Sword Health acquisition of Headspace that I think a lot of the "low valuation" dialogue is missing. Cash purchases are very different than stock purchases (or mergers) in the M&A world. The $3 billion Headspace / Ginger merger in 2021 was stock based. Both parties agree to the valuation but the negotiation is more an exercise in relative value (i.e. how much of the total pie is your company worth vs. mine?). You are negotiating the split more than the total enterprise value . The subsequent $200-$300 million acquisition of Headspace/Ginger by Sword is a cash deal. What does this mean? Typically in startups cash is the most scarce resource so acquirers prefer to pay in stock. The hard part for the selling company is 1) the acquirer's stock is difficult to value and is sometimes overvalued 2) private stock is illiquid, investors at the end of their fund often want to be paid in cash, and they are willing to take a lower price in cash vs. a higher price in stock. Sword likely preferred to pay in stock, Headspace (or its investors) likely needed to be paid in cash. Headspace probably took a big valuation discount in order to be paid in cash.

Congratulations to 15 extraordinary years as Apple CEO and on his next chapter as Chairman of Apple. 🎉 One thing Tim said has stayed with me most: “When you look back, Apple’s greatest contribution to humanity will be in health.” As a physician and ophthalmologist, I believe we are only beginning to discover the impact Tim and his team at Apple have made across health, wellness, and healthcare. I see it firsthand from the 🏥 healthcare frontlines. From the Macs I use in hospitals, to the Apple Watch that helps keep me healthy, to AirPods that help people hear, and now Apple Vision Pro, which I use during cataract 👁️ surgery to help people see. Apple technologies have become essential and trusted tools for many doctors, clinicians and patients. And Tim’s next chapter matters even more. As Apple Chairman, he has an opportunity to engage policymakers, governments, and leaders around the world on how technology can be used thoughtfully and responsibly: building on his longstanding advocacy for privacy, environmental responsibility, diversity, technology inclusivity and values-driven leadership of thinking differently. CMS’s newly proposed organ procurement organization rule (Jan 30, 2026) is the first time automated electronic donor referrals are clearly surfaced as a policy priority. The rule doesn’t mandate automation yet, but it explicitly asks the field to weigh in on: – Automated referral workflows – Use of EHRs, APIs, and FHIR – How technology could improve timely donor identification That matters, because referral timing is one of the most consequential upstream steps in organ donation—and it’s still largely manual and variable. Importantly, the evidence base here is still small. To date, the only published study examining automated donor referral implementation was a pilot study I led, showing feasibility and improvements in referral timeliness (link in comments). CMS is clearly signaling interest in moving this conversation forward. HFS breaks down $1 billion request for slice of federal rural healthcare transformation funds | Federal funds intended to support rural healthcare, with a focus on transformation, barriers to care and building the workforce. [Health News Illinois] Department of Healthcare and Family Services Chief of Staff Dana Kelly told members of the Medicaid Advisory Committee that the application focuses on those three pillars through written public comments from over 100 organizations and other stakeholders, as well as public listening sessions and calls with organizations affected by the federal cuts. “This whole strategy, robust as it was… was done in six weeks,” she said. The Department of Health and Human Services said last week that all 50 states submitted applications for the $50 billion in rural healthcare funding. Award winners will be announced by the end of the year, and funding will support rural health innovations that promote preventative care, improve sustainability, test new models of care delivery and support technology innovations.
