I hope you enjoy this chat as much as I did.Scott Brown liked thisWhen I spoke with Eric Larsen a few months ago about AI's march into healthcare, things were far less contentious than they are today. The battle has continued to heat up, especially as technologists have called for more research to show that AI can function autonomously in some care-delivery use cases. Even if the studies prove that AI can do certain jobs effectively, key obstacles will remain, like our regulatory system and a lack of clear liability. And yet, not everyone believes anymore that humans will remain in the loop in perpetuity. Eric has been a driving force in bringing together both sides for a conversation. He's friendly with Anthropic's Dario Amodei (and an investor), as well as Vinod Khosla and Sam Altman, but also has decades-long relationships with the health system leaders from his Advisory Board days. That makes him a rare breed in the industry, and he's one of the few actively bringing together both worlds. In this sweeping discussion for Lifers, we discussed the role of AI in healthcare, how health systems are responding, and why we have such high standards for the technology but accept some degree of human error without question. Scott Brown liked thisScott Brown liked thisThere is an important takeaway in the Sword Health acquisition of Headspace that I think a lot of the "low valuation" dialogue is missing. Cash purchases are very different than stock purchases (or mergers) in the M&A world. The $3 billion Headspace / Ginger merger in 2021 was stock based. Both parties agree to the valuation but the negotiation is more an exercise in relative value (i.e. how much of the total pie is your company worth vs. mine?). You are negotiating the split more than the total enterprise value . The subsequent $200-$300 million acquisition of Headspace/Ginger by Sword is a cash deal. What does this mean? Typically in startups cash is the most scarce resource so acquirers prefer to pay in stock. The hard part for the selling company is 1) the acquirer's stock is difficult to value and is sometimes overvalued 2) private stock is illiquid, investors at the end of their fund often want to be paid in cash, and they are willing to take a lower price in cash vs. a higher price in stock. Sword likely preferred to pay in stock, Headspace (or its investors) likely needed to be paid in cash. Headspace probably took a big valuation discount in order to be paid in cash.

It can reduce manual effort. But it can't fix a workflow that's already fragmented. In many organizations, the biggest opportunity isn't a new AI capability. It's simplifying the process underneath it. When workflows, data, and operating models are aligned, AI has something valuable to enhance. When they're not, it often amplifies existing complexity. That's why modernization and AI should never be separate conversations. One enables the other. A practical reminder: Don't measure AI readiness by the tools you own. The changes may tell us more than the headline results. → UnitedHealth Group improved its expected full-year MA membership decline from approximately 1.3 million to 1.1 million. → Centene Corporation moved its Medicare Advantage breakeven timeline from 2027 to within 2026. → Molina Healthcare improved full-year Medicare MCR guidance by 180 basis points to 92.2%. → CVS Health tightened full-year MBR guidance from 90.5% ± 50 basis points to 89.75% ± 25 basis points. Those revisions tell us something. New information is coming in. Claims. Membership behavior. The impact of pricing and benefit decisions. And expectations are changing with it. That's what makes this interesting from a competitive intelligence standpoint. Knowing where a competitor stands today is useful but knowing which DIRECTION they're moving is more useful.
